LANOVYL Affiliate Terms and Conditions

This document contains the general terms and conditions of the affiliate program (hereinafter: “Affiliate Program”) operated by LANOVYL Performance GmbH (registered office: Pfarrgasse 52, 1230 Vienna, Austria; hereinafter: “Company”).

Definitions

For the purposes of these Terms and Conditions, the following terms shall have the following meanings:

• Affiliate: any natural or legal person who registers for the LANOVYL Affiliate Program and accepts these terms and conditions.
• Level 1 Commission: the commission earned by the Affiliate for purchases made directly via their referral link or coupon code.
• Level 2 Commission: the commission earned by the Affiliate for purchases made by a customer who was referred by another affiliate introduced by the original Affiliate.
• Lifetime Commission: the commission to which the Affiliate remains entitled for any future purchases made by a customer they initially referred, or a customer referred by their sub-affiliate, regardless of whether the referral link or coupon was used during later purchases.
• Coupon Code: a unique promotional code assigned to each Affiliate, which grants the customer a one-time, fixed-percentage discount on their first purchase. The purpose of the coupon code is to incentivize the purchase and to establish the affiliate connection (Lifetime Commission) between the customer and the Affiliate.

1. Nature of the Affiliate Program

The Affiliate Program allows registered Affiliates to earn commission on sales generated by promoting cosmetic products sold under the LANOVYL brand. Commission is paid only for real, completed purchases.

The Affiliate Program includes a lifetime commission system: the Affiliate is entitled to commission for any future purchase made by the customer they initially referred, or by a customer referred by their sub-affiliate, regardless of whether the referral link or coupon code was used at the time of the transaction.

2. Conditions of Participation

To participate in the Affiliate Program, applicants must register on the dedicated affiliate registration page available on the LANOVYL website and accept these terms and conditions.

3. Commission Structure – Commission Rates and Tier Advancement

Affiliates are entitled to commission according to the following structure:

• Level 1 (direct referrals): 20%
• Level 2 (indirect referrals via a recruited affiliate): 10%

Tier advancement is automatic, based on the total amount of commission paid out to the Affiliate. Higher commission tiers are not applied retroactively.

4. Use of Coupon Codes

Upon registration, each Affiliate is automatically assigned a unique coupon code, accessible via their affiliate dashboard.

The coupon code is intended as a promotional tool for the Affiliate to encourage first-time purchases by new customers. When used, the coupon provides the customer with a one-time 10% discount on the net value of their first order.

The coupon code is only valid for the first purchase and cannot be reused for subsequent transactions.

When the coupon code is applied during the purchase process, it also activates the affiliate connection (Lifetime Commission) between the customer and the corresponding Affiliate. As a result, the Affiliate is entitled to commission for all future purchases made by the same customer — even if no coupon or referral link is used in later orders.

5. Transfer of Affiliate Accounts and Positions

The affiliate account and the associated position within the program structure are personal or company-linked and may only be used by the registered Affiliate.

Transfer of an affiliate account (position) to a third party is only possible with the prior written approval of the Company. Acceptable scenarios may include changes in corporate structure, business transfer, ownership change, or other justified business reasons.

Transfer requests must be submitted in writing to the Company. The Company reserves the right to approve or deny any transfer. If approved, the conditions of transfer will be defined on a case-by-case basis in an individual agreement.

The Company aims to provide long-term, sustainable, and inheritable structures for its affiliates. In the event of death, the affiliate position may be transferred to the heir upon written request and proper documentation (e.g. proof of inheritance), subject to the Company’s approval.

6. Commission Payout

Commissions are calculated based on the net value of the purchase (excluding VAT, shipping, and other charges). Payouts are only made for purchases that have been fully paid, fulfilled (e.g. shipped), and not subject to return within 14 days.

Commission payouts are made monthly for the previous month to the Affiliate’s designated bank account, subject to invoice issuance. The minimum payout threshold is EUR 100.

The Affiliate is solely responsible for fulfilling their own tax and accounting obligations.

7. Code of Conduct

Affiliates are strictly prohibited from:

• engaging in misleading or unethical marketing practices,
• sending unsolicited messages (spam),
• manipulating the referral links of other affiliates,
• misusing the LANOVYL brand in bad faith.

Violations of these rules may result in immediate termination from the Affiliate Program and the forfeiture of any unauthorized commissions.

8. Disclaimer of Liability

The Company does not guarantee any specific earnings or results for Affiliates. Each Affiliate assumes full responsibility for their business decisions and actions.

9. Data Protection and GDPR Compliance

The Company processes the personal data of affiliates strictly for the operation of the Affiliate Program and in compliance with applicable data protection laws, particularly the EU General Data Protection Regulation (GDPR). Further details are available in the Company’s Privacy Policy published on the LANOVYL website.

10. Amendment of the Agreement

The Company reserves the right to unilaterally amend these Terms and Conditions. Affiliates will be notified at least 15 days in advance via the email address provided in their account.

If an Affiliate disagrees with the amendment, they may terminate their participation in writing before the effective date. Continued participation after the effective date constitutes acceptance of the amendment.

11. Dispute Resolution

Any disputes arising between the parties shall primarily be resolved amicably through consultation. If no agreement can be reached, the parties submit to the exclusive jurisdiction of the competent Austrian court.

12. Final Provisions

These Terms and Conditions constitute an integral part of the LANOVYL Performance GmbH Affiliate Program. By registering, the Affiliate confirms that they have read, understood, and accepted these terms as binding.
